By accessing or using the website ayritech.com or by engaging AYRI Technologies for any services, you ("Client" or "you") agree to be bound by these Terms of Service ("Terms").
These Terms apply to all visitors to our website and to all clients who engage us for services. If you do not agree to these Terms, please do not use our website or engage our services.
For service engagements, these Terms are supplemented by a project-specific proposal or agreement signed between the parties, which takes precedence in the event of any conflict.
AYRI Technologies provides the following services:
The specific scope, deliverables, timeline, and cost of each engagement are agreed in writing (via email, proposal, or signed agreement) before work commences. We do not begin work without written confirmation of the project scope and agreed payment structure.
Project Brief: All projects begin with a written project brief that outlines the agreed scope, timeline, and deliverables. Changes to the scope after the brief is approved may result in revised timelines and additional costs, agreed in writing before any additional work is undertaken.
Design Approval: For projects involving design, the Client must approve all Figma designs in writing before development begins. Design approval constitutes agreement that the design meets the Client's requirements. Changes requested after design approval may be treated as scope changes.
Client Responsibilities: The Client agrees to:
Timeline: Project timelines are estimates based on scope at the time of agreement. Delays caused by the Client (late content, delayed feedback, scope changes) will result in adjusted timelines. We will communicate any timeline changes promptly and in writing.
Revisions: Each project includes a defined number of revision rounds as specified in the project proposal. Additional revisions beyond this may be charged at our standard hourly rate, agreed in writing before the work is done.
Payment structure: Unless otherwise agreed in writing, projects are billed on the following schedule:
For larger projects, a three-milestone payment structure may be agreed: deposit, mid-project milestone, and final payment.
Payment methods: We accept bank transfer (NEFT/IMPS), UPI, and Razorpay. GST invoices are issued for all payments.
Late payment: If payment is not received within 14 days of the invoice date, we reserve the right to pause work until payment is received. Persistent non-payment may result in project cancellation per Section 10.
Expenses: Any third-party costs incurred on the Client's behalf (hosting, domain registration, stock images, third-party APIs) will be agreed in advance and billed at cost.
Client ownership upon full payment: Once all outstanding payments are received in full, the Client owns all final deliverables — including source code, design files, and all project assets created specifically for the Client's project.
Before full payment: All work in progress, source code, and design files remain the property of AYRI Technologies until final payment is received.
Our tools and frameworks: We use open-source frameworks, libraries, and tools (React, Next.js, etc.) that are subject to their own licences. The Client receives the same rights to these as we do — the terms of the applicable open-source licences apply.
Portfolio rights: We reserve the right to display completed work in our portfolio and to describe the project in marketing materials, unless the Client requests confidentiality in writing before project commencement.
Our pre-existing IP: Any tools, templates, frameworks, or methodologies we bring to a project that exist independently of the Client's project remain our property.
By providing content, images, text, logos, or other materials for use in your project, you represent and warrant that:
You agree to indemnify AYRI Technologies against any claims, damages, or losses arising from content you provide that infringes third-party rights or violates applicable law.
Both parties agree to keep confidential any proprietary or sensitive information disclosed during the project that is marked as confidential or that a reasonable person would understand to be confidential, including business plans, financial information, technical specifications, and client data.
This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law.
Our handling of your personal data is governed by our Privacy Policy, which forms part of these Terms.

To the maximum extent permitted by applicable law, AYRI Technologies shall not be liable for:
Our total liability to any Client for any claim arising from a project shall not exceed the total fees paid by the Client for that specific project.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by our negligence.
By the Client: The Client may terminate a project at any time by written notice. In such a case, the Client is responsible for payment of all work completed up to the date of termination at the agreed project rate. The deposit is non-refundable.
By AYRI Technologies: We may terminate a project if the Client fails to pay outstanding invoices within 30 days of the due date, repeatedly fails to provide required materials or feedback, or requests us to perform work that is illegal or unethical. In such cases, the Client is responsible for payment for all work completed to that date.
Handover on termination: Upon termination and receipt of all outstanding payments, we will provide the Client with all completed deliverables to that point in an agreed format.
We hope disputes never arise, but if they do, both parties agree to first attempt resolution through good-faith negotiation. If a dispute cannot be resolved within 30 days of written notice, either party may seek resolution through mediation or the appropriate courts.
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana.
Entire Agreement: These Terms, together with any project-specific proposal or agreement, constitute the entire agreement between the parties and supersede all prior discussions or representations.
Amendments: We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance of the updated Terms.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.
Waiver: Failure by either party to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
Assignment: The Client may not assign their rights or obligations under these Terms without our prior written consent. We may assign our obligations to a qualified subcontractor, provided we remain responsible for the quality of the work.
